User Agreement

1. Introduction

Welcome to toani.ai, a website operated by zkMe Technology Limited (“toani”, “we”, “us”, or “our”). This User Agreement (“Agreement”) governs your access to and use of our website, products, services, APIs, SDKs, MCP Server, and documentation (collectively, the “Services”).

By accessing or using any part of the Services, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these terms, you should not access or use the Services.

2. Eligibility

You must be at least 16 years old or the age of legal majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement.

If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement.

3. Description of Services

toani provides a secure credential infrastructure for AI agents, leveraging Intel SGX Trusted Execution Environments (TEE). Our Services include but are not limited to:

  • toani Vault — secure credential storage and management within a hardware-isolated TEE enclave
  • toani Control — fine-grained access control and policy management for credential retrieval
  • toani Facilitate — authorized execution of actions (e.g., signing, API calls) on behalf of agents within the TEE
  • APIs and SDKs — programmatic interfaces (REST API, Python SDK, Node.js SDK) for integrating with toani Services
  • MCP Server — Model Context Protocol server for AI agent integration
  • Documentation — technical guides, references, and resources available at docs.toani.ai

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with this Agreement. You agree not to:

  • Use the Services to commit or attempt to commit fraud or any criminal offense
  • Use the Services in any way that could disable, overburden, damage, or impair the Services
  • Interfere with any other party’s use of the Services
  • Attempt to gain unauthorized access to any part of the Services, other accounts, computer systems, or networks connected to the Services
  • Use the Services to store or transmit malicious code, viruses, or any other harmful technology
  • Reverse engineer, decompile, or disassemble the Services except as permitted by applicable law
  • Use the Services to violate any applicable law, regulation, or the rights of any third party
  • Deploy AI Agents that autonomously escalate their own permissions or bypass access policies configured via toani Control
  • Use the Services to enable AI Agents to perform actions without appropriate human oversight or authorization as required by applicable law
  • Attempt to extract, infer, or reconstruct credentials or secret material from the TEE through side-channel attacks, prompt injection, or any other technique

5. AI Agent Responsibility and Oversight

You acknowledge that toani provides infrastructure for AI Agents to securely access and use credentials — toani does not control, direct, or supervise the behavior of your AI Agents. You are solely responsible for:

  • Configuring appropriate access policies and permission scopes for each AI Agent via toani Control
  • Monitoring and auditing the actions performed by AI Agents using your credentials
  • Ensuring that your AI Agents comply with all applicable laws, regulations, and third-party terms of service
  • Revoking credentials or disabling AI Agent access promptly if you detect unauthorized or unintended behavior

toani does not use any credentials, secrets, or data processed through the Services to train, fine-tune, or improve AI or machine learning models. All sensitive data is processed exclusively within the TEE and never exposed to toani’s application layer.

6. Intellectual Property

The Services, including all software, content, trademarks, trade names, logos, and other intellectual property rights therein, are and shall remain the exclusive property of zkMe Technology Limited. Nothing in this Agreement grants you any right, title, or interest in the Services except for the limited rights expressly granted herein.

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TOANI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While our Services leverage Intel SGX Trusted Execution Environments (TEE) for hardware-level security, we do not warrant that the TEE technology is free from all vulnerabilities, side-channel attacks, or firmware-level exploits. The security guarantees of TEE are subject to the limitations of the underlying hardware and firmware provided by Intel Corporation.

We do not guarantee uninterrupted, timely, secure, or error-free access to the Services.

TOANI DOES NOT WARRANT, ENDORSE, OR ASSUME RESPONSIBILITY FOR THE BEHAVIOR, OUTPUTS, OR DECISIONS OF ANY AI AGENT THAT ACCESSES THE SERVICES. AI AGENTS MAY PRODUCE UNEXPECTED, INACCURATE, OR UNINTENDED RESULTS. YOU ASSUME ALL RISK ASSOCIATED WITH THE ACTIONS PERFORMED BY AI AGENTS USING CREDENTIALS MANAGED THROUGH TOANI.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZKME TECHNOLOGY LIMITED, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any unauthorized access to, use of, or alteration of your transmissions or content
  • Any breach or compromise of TEE/SGX hardware security by means outside toani’s reasonable control
  • Any actions taken by AI Agents using credentials stored in or accessed through the Services, including but not limited to unauthorized transactions, data exposure, or service disruptions caused by AI Agent behavior

9. Indemnification

You agree to indemnify, defend, and hold harmless zkMe Technology Limited and its affiliates, officers, agents, employees, and contractors from and against any claims, suits, proceedings, disputes, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising from or relating to your use of the Services, your violation of this Agreement, or your violation of any rights of a third party.

10. Dispute Resolution

10.1 For Users in the United States

Any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its rules. You agree that any arbitration shall be limited to the dispute between you individually and toani. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

10.2 For Users in the European Union / United Kingdom

Any dispute arising out of or in connection with this Agreement shall be submitted to arbitration under the London Court of International Arbitration (LCIA) Rules. The seat of arbitration shall be London, United Kingdom. The language of arbitration shall be English. Nothing in this section prevents you from bringing issues to the attention of national or EU data protection authorities.

10.3 For Users in Other Regions

Any dispute arising from this Agreement shall be settled by arbitration under the rules of the Singapore International Arbitration Centre (SIAC). The place of arbitration shall be Singapore. The language of the arbitration shall be English.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of this Agreement that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Modifications to This Agreement

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement on this page. Your continued use of the Services after any modifications constitutes your acceptance of the revised Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which zkMe Technology Limited is incorporated, without regard to its conflict-of-law provisions.
